Which State Should You Choose?

You do not need to live in a state — or even visit it — to form an LLC there. Three states dominate for foreign founders:

Wyoming (Best for most foreign founders)

Delaware (Best for VC-backed startups)

New Mexico (Honorable mention)

  • State filing fee: $50
  • Annual report: Not required
  • Privacy: Exceptionally strong

What You Need Before You Start

  1. A company name — must end in "LLC" and be unique in Wyoming
  2. A registered agent — required, physical Wyoming address, $50–$300/year
  3. Your passport — for ITIN and banking
  4. A mailing address — virtual mailbox service works fine

The 11 Steps to a Fully Compliant Wyoming LLC

Step 1: Check LLC name availability

Search the Wyoming SOS database before you pay any fees. Free, takes 10 minutes.

Step 2: Hire a Wyoming registered agent

Choose a service with a physical Wyoming street address. Cost: $50–$150/year. Northwest Registered Agent is a solid choice.

Step 3: File articles of organization

File online at the Wyoming Secretary of State portal. Provide your LLC name, registered agent, organizer name, and management structure. Time: 1–3 business days. Cost: $100.

Step 4: Apply for an ITIN via a Certifying Acceptance Agent (CAA)

A CAA is an IRS-authorized agent who certifies your passport copy so you do not have to mail the original to the IRS.

Step 5: Obtain an EIN from the IRS

Step 6: Open a US business bank account

Step 7: Connect your bank to bookkeeping

Step 9: File Form 5472 + pro-forma Form 1120

This is the most commonly missed requirement for foreign-owned LLCs.

Every single-member LLC owned by a non-US person must file Form 5472 + a pro-forma Form 1120 by April 15 each year. The penalty for failing to file: $25,000 per form, per year — even if you owe zero US taxes.

Step 10: File your personal tax return (if required)

If you have US-sourced income, file Form 1040-NR. If you have zero US-sourced income, no personal return is typically required.

Step 11: File the Wyoming annual report

Due each anniversary month of your LLC's formation. Fee: $60. Penalty for missing: $250.

Common Mistakes Foreign LLC Owners Make

1. Missing the BOI report. All LLCs formed after January 1, 2024 must file a Beneficial Ownership Information report with FinCEN within 30 days of formation. The penalty is $591 per day.

2. Ignoring Form 5472. The $25,000 penalty is real and actively enforced. File on time, every year.

3. Mixing personal and business funds. Open a separate business bank account and use it exclusively for business.

4. Choosing the wrong state. Most foreign founders do not need Delaware.
