Form 5472: What Every Foreign-Owned LLC Must File (And the $25,000 Penalty for Missing It)

If you are a non-US resident who owns a US LLC, there is a tax form most people have never heard of that carries a $25,000 penalty for non-filing — even if you owe zero US taxes.

That form is Form 5472.

What Is Form 5472?

Form 5472 is an IRS information return that reports all transactions between a US business entity and its foreign owner. The IRS uses this to verify that taxable income is not being shifted offshore improperly.

Despite its name mentioning corporations, single-member LLCs owned by non-US persons are also required to file Form 5472 — a rule in effect since 2017.

Critically: you can owe zero US federal income tax and still be required to file Form 5472. The filing obligation exists regardless of whether your LLC made money.

Who Must File?

You must file Form 5472 if all three of these apply:

  1. You own a single-member LLC registered in the United States
  2. You are a non-US person (not a US citizen or green card holder)
  3. Your LLC had any "reportable transactions" during the tax year

Reportable transactions include:

  • Capital contributions you made to the LLC
  • Distributions or payments the LLC made to you
  • Loans between you and the LLC in either direction
  • Payments for services between you and the LLC
  • Sales of property between you and the LLC

In practice, nearly every active foreign-owned LLC has reportable transactions. Even transferring the formation fee from your personal account to the LLC counts.

What Is a Pro-Forma Form 1120?

Form 5472 cannot be filed alone. It must be attached to a pro-forma Form 1120 — a skeleton corporate tax return that exists solely as a cover sheet.

The pro-forma 1120 only requires the LLC's name, address, EIN, and a checkbox indicating it is a disregarded entity. It is not a full corporate return.

When Is It Due?

April 15 of the year following the tax year.

Extension: File Form 7004 by April 15 to get until October 15.

First-year note: If your LLC was formed partway through the year, you still file for that partial year.

The Penalty for Not Filing

$25,000 per form, per tax year.

That penalty compounds: an LLC that missed three years faces $75,000 before interest. The IRS can also assess an additional $25,000 for each 30-day period after notification.

These penalties are actively enforced. Foreign-owned LLCs are a stated IRS enforcement priority.

Reasonable Cause Exception

Do I Need an ITIN to File?

Technically no — some tax professionals file without one by noting "N/A" and attaching an explanation. Having an ITIN makes the process cleaner and is required if you have US-sourced income that requires a personal return.

Form 5472 is mailed — it cannot be e-filed as standalone.

Common Mistakes

Reporting only income, not all transactions. Revenue is not the only thing to report — capital contributions, distributions, and loans all go on Form 5472.

Missing the pro-forma 1120. Filing Form 5472 without the 1120 cover sheet is treated as not filed.

Not filing for "no income" years. The test is whether there were reportable transactions — a capital contribution counts even if revenue is zero.

Filing late without an extension. File Form 7004 first if you know you will miss April 15.
